The specific scope, volume, pricing, and deliverables for each engagement will be defined in a separate Service Agreement or Statement of Work (SOW) executed between the parties. In the event of conflict between these Terms and a service agreement, the service agreement shall prevail for that specific engagement.
To enable Weinfotech LTD to deliver services effectively, clients agree to:
All payment terms are defined in the applicable service agreement or invoice issued by Weinfotech LTD. General terms include:
Invoices will be issued as agreed (monthly, per milestone, or per project phase) and are due within 14 days of the invoice date unless otherwise specified in the service agreement.
Weinfotech LTD reserves the right to charge interest on overdue amounts at the rate of 1.5% per month (or the maximum rate permitted by applicable law) from the due date until full payment is received. We also reserve the right to suspend services for accounts overdue by more than 30 days.
Unless otherwise agreed, all amounts are quoted in US Dollars (USD) or British Pounds (GBP). Clients are responsible for all applicable taxes, duties, and charges in their jurisdiction. Weinfotech LTD will apply VAT where legally required.
Any disputes regarding invoiced amounts must be raised in writing within 7 days of the invoice date. Undisputed amounts remain due on the original payment terms.
All materials, data, scripts, brand assets, and proprietary information provided by the client to Weinfotech LTD remain the sole property of the client. We will not use such materials for any purpose other than delivering the agreed services.
All processes, methodologies, training materials, technology tools, internal systems, and proprietary frameworks developed by Weinfotech LTD are and remain the intellectual property of Weinfotech LTD. Important: Please read this section carefully as it limits our liability to you.
To the fullest extent permitted by applicable law, Weinfotech LTD shall not be liable for:
Our total cumulative liability to you for any claims arising from our services shall not exceed the total fees paid by you to Weinfotech LTD in the three (3) months immediately preceding the event giving rise to the claim.
Nothing in these Terms limits our liability for death or personal injury caused by our negligence, fraud, or any other liability that cannot be excluded by law.
Weinfotech LTD will make reasonable efforts to ensure uninterrupted service delivery. However, service delivery may be affected by circumstances beyond our control, including but not limited to:
In such events, we will notify you promptly, make reasonable efforts to minimise disruption, and resume services as quickly as practicable. Force majeure events will not constitute a breach of contract.
Either party may terminate a service agreement by providing written notice as specified in the applicable service agreement (typically 30 days). Services will continue through the notice period unless otherwise agreed.
Either party may terminate the service agreement immediately upon written notice if the other party:
Upon termination, the client must settle all outstanding invoices within 14 days. Both parties will return or destroy the other's Confidential Information. Provisions relating to confidentiality, intellectual property, payment, and limitation of liability will survive termination.
These Terms and any disputes arising from them or related to our services shall be governed by and construed in accordance with the laws of England and Wales. Both parties submit to the exclusive jurisdiction of the courts of England and Wales for the resolution of any disputes.
For clients based in jurisdictions where mandatory local consumer or business protection laws apply, those laws will supplement (not replace) these Terms to the extent required by applicable law.
